Studio Licensing & Product Confidentiality Policy

Effective Date: March 4, 2026

Zinc Group distributes merchandise incorporating intellectual property licensed from motion picture studios and their licensors. All characters, logos, artwork, images, and related materials (collectively, “Studio Content”) remain the exclusive property of their respective studios and licensors. No rights or licenses are granted to customers except as expressly set forth herein.

1. Product Image Confidentiality

Prior to the official theatrical release of the associated film or any applicable embargo lift, customer shall not, directly or indirectly, photograph, record, copy, publish, distribute, transmit, display, or otherwise disclose any images or representations of products incorporating Studio Content.

This restriction applies to all forms of media and communication, including but not limited to social media, digital platforms, internal communications, press, and any public or customer-facing environment.

2. Marketing and Display Embargo

Customer shall not, prior to the applicable embargo lift or authorized release date, directly or indirectly:
(a) display, exhibit, or otherwise make products visible to the public or customers;
(b) market, advertise, promote, or publicize the products in any manner; or
(c) sell, distribute, or otherwise make the products available to any third party.

Embargo restrictions apply to all forms of visibility, including incidental, background, or indirect exposure.

3. Authorized Sales Channels

Unless otherwise expressly authorized in writing by Zinc Group or the applicable licensor, customer shall sell licensed merchandise solely within movie theater concession stands or in-theater retail locations operated by customer. Any resale, transfer, or distribution outside of such authorized channels is strictly prohibited.

4. Early Delivery of Merchandise

Licensed products may be delivered to customer in advance of the applicable theatrical release date to facilitate inventory preparation, logistics, and merchandising setup.

Such early delivery is provided solely for internal operational purposes and does not grant any right to display, market, promote, sell, or otherwise disclose the products prior to the applicable embargo lift or authorized release date.

Customer shall ensure that all embargoed products are stored securely and are not accessible to the public prior to the embargo lift.

5. Compliance Responsibility

Customer shall ensure that all of its employees, affiliates, contractors, agents, and locations strictly comply with this Policy. Customer shall be fully responsible for any breach of this Policy by such parties, whether direct or indirect.

6. Acknowledgment of Irreparable Harm

Customer acknowledges that any unauthorized use, disclosure, or premature display of Studio Content or products may cause irreparable harm to Zinc Group and the applicable studios for which monetary damages may be insufficient. Accordingly, Zinc Group and/or the applicable licensors shall be entitled to seek immediate injunctive or equitable relief, in addition to any other remedies available at law or in equity.

7. Enforcement and Remedies

Violation of this Policy may result, at Zinc Group’s sole discretion, in:
(a) immediate cancellation of orders;
(b) suspension or termination of purchasing privileges;
(c) refusal of future sales; and/or
(d) any other remedies available under applicable law or contract.
